The Registrar of Companies and Official Receiver (the “ROC”) has issued a directive on 27th May 2014, ringing the bell to all Cyprus registered companies as to their obligation according to the Companies Law Cap.113 to submit Annual Returns (HE32 forms) accompanied by Financial Statements. Annual Returns not accompanied by the Financial Statements will be considered, by the ROC as not filed and will be rejected.
In the directive, the ROC points out that companies failing to submit Annual Returns that are overdue will be removed from the Register of Companies (basically they will be struck-off) according to the provisions of Article 327 of the Companies Law Cap.113.
Payment of the Annual Levy
We also note that all Cyprus registered Companies should pay an Annual Levy for the year 2014 for the amount of €350.
In the event that a company does not comply with the above requirement, the ROC is again entitled to struck-off any given company from the Registry under Section 327 of the Companies Law Cap.113
